Terms & Conditions.

By registering for an account, accessing any CodeSpan SaaS dashboard, or executing a Statement of Work (SOW) for engineering services, you agree to comply with and be bound by these Terms and Conditions. If you represent an organization or corporate entity, you affirm that you have full legal authority to bind that entity to these terms.

If you do not agree to these terms, you must immediately discontinue use of all CodeSpan systems and services.

CodeSpan grants you a non-exclusive, non-transferable, revocable license to access and use our proprietary SaaS products (including BillSpan, StockSpan, and PeopleSpan) during the term of your active subscription plan.

• You may not reverse engineer, decompile, or disassemble proprietary platform core binaries.
• You may not resell, sub-license, or redistribute our multi-tenant SaaS infrastructure without explicit written partnership authorization.
• You are solely responsible for maintaining the confidentiality of administrative credentials and multi-factor authentication devices.

For custom development engagements, web applications, and bespoke microservice implementations, upon full settlement of contract fees, 100% of the custom intellectual property, proprietary source code, database architectures, and design tokens belong entirely to the client.

CodeSpan retains no royalty claims or licensing restrictions over your bespoke code. Any pre-existing open-source libraries or underlying frameworks used remain governed by their respective standard open-source licenses (e.g., MIT, Apache 2.0).

Subscription fees are billed in advance on either a monthly or annual recurring cycle according to the selected plan. You may cancel recurring monthly plans at any time with no penalties; access continues until the end of your prepaid billing period.

Annual subscription commitments receive promotional pricing discounts and are non-refundable once the 14-day evaluation window has concluded.

Both parties agree to treat all business records, proprietary formulas, customer lists, and financial figures as confidential information under a strict mutual non-disclosure standard. CodeSpan enforces AES-256 encryption at rest, TLS 1.3 encryption in transit, and continuous access control logging.

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. Any dispute arising out of or related to these terms shall be resolved initially through good-faith executive mediation, and if unresolved, submitted to the competent courts of Chittagong, Bangladesh.
